2. DESCRIPTION OF GOODS
Subject to Condition 10 below NBS Biologicals Ltd. warrants that goods supplied will comply with the description contained in the product description. Save where the Customer is dealing with NBS Biologicals Ltd. as a consumer all other conditions, guarantees, representations and warranties written or oral whether implied by statute, common law or otherwise are hereby excluded.
3. PRICING
(a) All prices shown within this website are quoted in Pound Sterling (GBP).
(b) Purchases made in any currency other than GBP will be subject to currency conversion according to the current exchange rate as quoted by Barclays Bank Plc.
(c) All prices and offers contained within this website are believed to be correct. If however, NBS Biologicals Ltd. finds the price of any product to be incorrect, the price of this product may be subject to variation prior to despatch of goods. Where this occurs the customer will be notified prior to the order being processed and has the right to cancel the order without incurring any penalty charge.
(d) Unless expressly stipulated, all prices displayed on this website (up to point of payment) shall be net of tax and NBS Biologicals Ltd. shall be entitled to add value added or any similar sales tax payable to any order. Where tax is added to the order this will be clearly stated prior to payment.
4. PAYMENT AND DELIVERY
(a) Payment within this website may only be made by credit/debit card. The following credit/debit cards are accepted. Visa, Visa Debit, and Mastercard. Payment is handled securely by Braintree.
(b) Payment in respect of sales within the United Kingdom shall become due for goods supplied hereunder on receipt of order and (where applicable) before delivery of goods.
(c) On process of the order a delivery confirmation will be sent to the customers registered email address. All delivery dates quoted within the delivery confirmation are estimated only and are not binding on NBS Biologicals Ltd. Whilst every endeavour will be made to comply with these dates NBS Biologicals Ltd. shall have no liability whatsoever for any delay in despatch or delivery or for any loss occasioned thereby. Stock items ordered before 2pm will be shipped same day for next working day delivery.
(d) On sales within the United Kingdom, delivery shall be made to the address supplied at checkout. Goods are required to be accepted when delivered and, if not so accepted NBS Biologicals Ltd. may charge any subsequent transport storage and other costs incurred.
5. DELIVERY CHARGES
The charge required for delivery will always be displayed in the checkout process prior to the order being placed. Discounted delivery is offered for a small number of low bulk items, which can be sent via post rather than courier – for these items the discounted rate is only applied where a single unit of the qualifying product is ordered.
6. RETURN, REFUND AND CANCELLATION POLICY
(a) You may cancel your order at any time up to the point of despatch, however any costs incurred by us up until the point of cancellation (eg. production/stocking/transportation costs) may be passed on at our discretion.
(b) Defective/incorrectly received goods. Please inspect all goods as soon as reasonably practicable after delivery, and notify us of any defects or shortfall within 7 days of delivery. Once the return is agreed, please repackage the order for collection or return delivery. If the goods are agreed to be defective we will either re-supply the goods in question or credit the invoice value of the goods. If notice of defects/shortfalls is not received within 7 days, the goods shall be deemed to be in accordance with contract and you be deemed to have accepted the goods. In any such circumstance we will not be liable for either replacement or refund of the goods in question.
(c) Items ordered in error. Please contact us as soon as possible to report any items ordered in error. If your order has already been delivered, you must notify us within 7 days of delivery. For a return, your item must be in its original unused condition, and you must return the item within 30 days of receipt of goods. All items ordered In error are subject to a minimum 20% restocking fee, this will be deducted from your refund.
(d) Exclusions from our returns policy. Unfortunately we cannot accept returns for any custom service, or made to order products, unless the goods are defective or incorrect.
Due to Dojindo company policy, we are also unfortunately unable to accept returns for any Dojindo branded products, unless the goods are defective or incorrect.
7. RESTRICTED SALE OF GOODS
(a) Due to limitations in online trading, goods restricted in their sale may be allowed to proceed without the necessary proof of eligibility to purchase such items being requested. Where such a case occurs the customer will be asked to supply the required information after the order is made. Where the required information cannot be supplied the order will be cancelled and any payments made by the customer associated with the order refunded.
(b) Any restriction regarding the sale a product will not be detailed in the product description, the customer may request clarification of goods in question from NBS Biologicals Ltd.
(c) NBS Biologicals Ltd. reserves the right to refuse sale of any goods to any customer regardless of the nature of the goods.
8. PASSING OF RISK
The risk in all goods to be supplied shall pass to the Customer on receipt of the goods.
9. EXPORT RESTRICTIONS
We welcome enquiries from outside of the UK, however due to supplier licensing agreements the sale of products to countries outside of the UK from some suppliers may be restricted. Where an order is placed which cannot be fulfilled due to export restrictions the customer will be notified and any payments made relating to the order refunded in full. All ‘NBS’ brand products are available for sale worldwide.
10. LIABILITY
(a) NBS Biologicals Ltd. shall incur no liability for direct indirect or consequential loss injury or damage to persons or property from any cause whatsoever as a result of the handling of goods not in accordance with any safety instructions which may be issued from time to time or supplied by NBS Biologicals Ltd. with the goods or with any Government regulations or codes of practice from time to time in force.
(b) Any assay figures stated within product descriptions or literature are typical values. NBS Biologicals.Ltd. shall be under no liability to the Customer (nor shall the Customer be entitled to reject any goods supplied) in respect of any discrepancy between the stated assay figure and the individual batch analysis figure and the individual batch analysis figure.
(c) Any liability incurred by NBS Biologicals Ltd. for any direct indirect or consequential loss injury or damage to persons or property resulting from any negligence delay defect or failure in the goods or from any cause whatsoever shall be limited to a sum equal to the charges for the goods or that part so affected. In no circumstances shall liability attach to NBS Biologicals Ltd. in respect of delay defect in the goods or any default resulting from the specification by the Customer of unsuitable material.
11. FORCE MAJEURE
(a) The following paragraphs of this clause shall apply in the case of “Force Majeure” which phrase shall mean: –
(i) any circumstances (including Act of God) beyond the control of NBS Biologicals Ltd., or
(ii) fire, flood, power failure, reduction of power supplies, mechanical failure of lack or shortage of materials (not being due to the wilful act or wilful default of NBS Biologicals Ltd.), or
(iii) (Whether or not within the control of NBS Biologicals Ltd.) strikes, lock-outs, industrial disputes or action taken by the NBS Biologicals Ltd. or any other person, firm or company in connection therewith or in consequence or furtherance thereof.
(b) In the event of Force Major there shall be no breach of this contract. However the duties and obligation of both parities under this contract shall be suspended for so long as the Force Majeure subsists. The delivery date shall be deferred for a period equal to the length of such suspension unless the Force Majeure has resulted in the destruction of any goods to be provided in which case NBS Biologicals Ltd. may nominate a new delivery date.
(c) Should any period of suspension last for ninety days or more the Customer may by notice in writing to NBS Biologicals Ltd. elect to terminate the contract and take delivery of any part of the goods available. NBS Biologicals Ltd. may make a proper charge for all goods so provided.
(d) Notwithstanding paragraphs (b) and (c) above NBS Biologicals Ltd. shall be under no liability to the Customer in the event of the Company’s failure, delay or default in carrying out its obligation due in whole or in part to Force Majeure.
12. APPLICABILITY OF CONDITIONS
These conditions shall apply (subject to variation or amendment as prescribed by clause 1 hereof) to all transactions between NBS Biologicals Ltd. and the Customer notwithstanding any variation waiver or forbearance agreed given or granted for NBS Biologicals Ltd. in respect of any previous transaction between them.
13. NOTICE
In every case where notice is required to be given such shall be deemed to be served when delivered by hand or posted to the last known address of the party to be served.
14. HEADINGS
Headings are inserted for ease of reference alone and shall not affect the meaning or interpretation of these conditions.
15. LAW
These conditions shall be governed by and construed in accordance with the laws of England.
